These Terms of Service ("Terms") govern your access to and use of ChatZ's WhatsApp AI agent platform and services. By using our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using ChatZ's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

These Terms constitute a legally binding agreement between you ("Customer", "User", or "you") and Chatzsolutions, LLC ("ChatZ", "we", "us", or "our"). If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Services

ChatZ provides an AI-powered WhatsApp Business API agent platform that enables businesses to automate customer communications, provide 24/7 customer support, and manage conversations through WhatsApp. Our services include:

  • AI-powered conversation automation and customer support
  • WhatsApp Business API integration and management
  • Platform access and dashboard tools
  • Technical support and maintenance
  • Training and onboarding assistance

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, at our sole discretion.

3. Account Registration and Eligibility

3.1 Account Requirements

To use our services, you must:

  • Be at least 18 years of age or have the legal capacity to enter into contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Be responsible for all activities that occur under your account

3.2 Right to Refuse Service

ChatZ reserves the right to refuse service to any business at our sole discretion. We may decline to provide services or terminate existing services if:

  • We determine, based on business background checks or due diligence, that a business does not meet our ethical standards or compliance requirements
  • We believe our services are not a good fit for the business model or industry
  • The business operates in a prohibited industry or engages in illegal activities
  • The business has a history of violating terms of service with other service providers
  • We determine that providing services would pose a risk to our platform, other customers, or our reputation

This decision is final and at our sole discretion. We are not obligated to provide a detailed explanation for service refusal.

4. Payment Terms

4.1 Fees and Billing

You agree to pay all fees associated with your use of ChatZ services as specified in your subscription plan. Fees are billed in advance on a monthly or annual basis, unless otherwise agreed. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.2 Payment Overdue and Service Suspension

If payment is overdue for more than 24 hours, ChatZ reserves the right to immediately suspend or pause your services without prior notice. During suspension:

  • Your AI agent will cease processing messages
  • Access to your dashboard and platform features will be restricted
  • Your WhatsApp Business API integration may be temporarily disabled
  • Data will be retained for a period as specified in our data retention policy

Services will be restored upon receipt of full payment of all outstanding amounts, including any late fees or reinstatement fees that may apply. We are not responsible for any loss of business, data, or opportunities resulting from service suspension due to non-payment.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated to you at least 30 days in advance. Continued use of our services after the effective date of price changes constitutes your acceptance of the new pricing.

4.4 Taxes

You are responsible for all taxes, duties, and government charges associated with your use of our services, except for taxes based on our income. All fees are exclusive of applicable taxes unless otherwise stated.

5. Acceptable Use Policy

You agree not to use our services for any unlawful, harmful, or prohibited purpose. Prohibited activities include, but are not limited to:

  • Violating any applicable laws, regulations, or third-party rights
  • Sending spam, unsolicited messages, or engaging in harassment
  • Transmitting malicious code, viruses, or harmful content
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Reverse engineering, decompiling, or attempting to extract source code from our platform
  • Using our services to compete with ChatZ or to build competing products
  • Impersonating others or providing false information
  • Violating WhatsApp's Terms of Service or Business Policy
  • Engaging in activities that could harm our reputation or that of our partners, including Meta

Violation of this Acceptable Use Policy may result in immediate termination of your account and services, without refund.

6. Intellectual Property

All content, features, and functionality of the ChatZ platform, including but not limited to software, text, graphics, logos, and AI models, are owned by Chatzsolutions, LLC and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for your business purposes in accordance with these Terms. This license does not include the right to:

  • Resell, sublicense, or redistribute our services
  • Modify, adapt, or create derivative works based on our platform
  • Remove or alter any proprietary notices or labels
  • Use our trademarks, logos, or branding without written permission

7. User Content and Data

You retain ownership of all content, data, and information you provide or generate through our services ("User Content"). By using our services, you grant ChatZ a worldwide, non-exclusive, royalty-free license to:

  • Use, store, and process User Content to provide and improve our services
  • Use anonymized and aggregated data for analytics and service improvement
  • Comply with legal obligations and enforce these Terms

You are solely responsible for User Content and warrant that you have all necessary rights and permissions to use such content. We reserve the right to remove or refuse to process any User Content that violates these Terms or applicable laws.

8. Service Availability and Modifications

While we strive to provide reliable and continuous service, we do not guarantee that our services will be available 100% of the time. Services may be interrupted due to:

  • Scheduled maintenance and updates
  • Technical issues or system failures
  • Third-party service disruptions (including WhatsApp Business API or Meta services)
  • Force majeure events beyond our control

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice when possible, except in cases of emergency or security concerns.

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Costs of substitute services
  • Damages resulting from third-party actions or service disruptions

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 Third-Party Services

Our services integrate with third-party services, including WhatsApp Business API and Meta services. We are not responsible for the availability, performance, or actions of these third-party services. Any issues with third-party services are subject to their respective terms and policies.

10. Indemnification

You agree to indemnify, defend, and hold harmless ChatZ, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your User Content or any content you transmit through our services
  • Your infringement of any third-party rights

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at info@chatzsolutions.com or through your account dashboard. Upon termination, your access to our services will cease, and you will remain responsible for all fees incurred up to the termination date.

11.2 Termination by Us

We may terminate or suspend your account and access to our services immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Payment is overdue for more than 24 hours
  • We determine, at our sole discretion, that providing services is no longer appropriate
  • You engage in fraudulent, illegal, or harmful activities
  • Required by law or requested by regulatory authorities

Upon termination, all rights granted to you under these Terms will immediately cease. We are not obligated to provide refunds for any unused portion of your subscription.

11.3 Data Retention After Termination

Following termination, we will retain your data for a period of 30 days, after which it will be deleted unless we are required to retain it for legal or regulatory purposes. You are responsible for exporting any data you wish to retain before termination.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If we cannot resolve a dispute within 60 days, either party may pursue legal remedies in accordance with applicable law.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Chatzsolutions, LLC is incorporated, without regard to conflict of law principles.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChatZ regarding your use of our services and supersede all prior agreements and understandings.

13.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through our platform at least 30 days before they take effect. Your continued use of our services after the effective date of changes constitutes your acceptance of the modified Terms.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.5 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or any rights hereunder without your consent.
